About the Practice Group

The Liability Management practice advises public and private companies, sponsors, creditor groups, hedge funds, direct lenders, and distressed investors on the full spectrum of liability management transactions and non-traditional distress and exchange transactions. Drawing on the deep expertise of our Banking and Private Credit, Capital Markets, Restructuring, M&A, Tax and Litigation practices, our interdisciplinary team delivers innovative and bespoke solutions to clients navigating complex capital structure challenges.

About the Role

We are seeking highly qualified associates with a minimum of four years of applicable experience to join our industry-leading Liability Management team. Candidates should demonstrate comfort working across the capital structure and an ability to navigate bespoke, highly structured debt, equity, and hybrid instruments in stressed and distressed contexts.
Associates in the Liability Management practice advise clients on complicated transactions involving deep analysis of corporate capital structures to craft commercial, out-of-the-box solutions. Specific responsibilities include working with senior lawyers in conducting detailed structural analysis of existing capital structures to identify opportunities for liability management solutions; advising clients on strategic alternatives and execution risk; drafting, analyzing and negotiating transaction support agreements, credit agreements, indentures, intercreditor arrangements, and related transaction documents; and managing junior associates and supporting their development. The role offers the opportunity to work on high profile, market-shaping transactions in a fast-paced environment that encourages early responsibility, collaboration, and professional growth.
